April 2008 Board Minutes

April 21, 2008
Called to order 7:15 pm

Present:

Board Members not present: Julia, Maitland (LOA)

March meeting minutes approved.
January and February meeting minutes still pending correction.

BULIDING:
Gigi met with attorney Gary Colley of Platt Irwin to discuss easement issues. Bottom line is that both neighbors have the right to build the fences that they have built.
Boiler Room needs easement from Waterman-Katz to access back door.
Will have another meeting about a gate in the aforementioned fence.
Sign cut-out is finished, needs painting; hardware almost up.
The plant in back WILL be moved.

MANAGER:
No major sleepovers are to occur in the Boiler Room.
Jason will be teaching four days a week next school year--would like to be at the BR 8-5 on Thursdays.
Would like to standardize hours; currently working around 60 hours a week.
Jason overwhelmed by drama--nature of job.
Let go of Mike Gibson as programs intern.
Jason to start "manager log" to keep track of incidents, and to call in help from board at appropriate times.
Price increase imminent. Need better profit margins on goods sold. Amy will talk to Jesse Rose about using his computer program.
New register cost $376, USB send daily income and errors directly to Quickbooks.
Propose all Costco shopping done by delivery in Poulsbo. Place order, pick up at 9 am with a check.
BR coffee label is on PT time. Waiting for Max Grover to complete art work.
Old espresso machine in Olympia getting fixed--asked to take their time to make sure all repairs are properly completed. When returned, put up for sale. Other machince still in Bellingham. Refinished sale price around $3000.
Peninsula Pride dissolved and donated the $126 remaining in their bank account to the Boiler Room.

LANGUAGE:
Cory, Catska and Gigi met with Michelle Sandoval to discuss deed language.
Gigi will meet with an attorney to have them draw up language to protect the purpose of the building (language in by-laws instead of deed restriction) for the Board to discuss and vote on. The cost of the attorney will be donated to the Boiler Room by Gigi.

MEETINGS:
Retreat meeting August 9, 10 am through 4 pm, location TBA
Fundraiser meeting at Boiler Room, April 28, 7 pm

BUILDING FINANCE:
Gigi and partner Steve are interested in holding the note for the Boiler Room at 5% interest for 5-8 years, no pay off penalty
Terri motions that Gigi (Georgane Callaizakis) hold the note for the Boiler Room, with Michelle Sandoval working out the appropriate language. A balloon payment of $100,000 in June is to be included to lower principle. Teresa Comstock, board treasurer, will represent the Boiler Room, located at 711 Water Street, in this real estate transaction and is authorized to sign documents as needed.
Bruce seconds the motion.
All present in favor, Gigi abstaining.

FINANCE:
Bean jar at Food Co-op turned into a $229 donation.
Souper Fundraiser earned $2075
Carwash raised $528.71
Grant writing workshop May 13. Amy, Jason and Bruce attending.
Steve motions that the Boiler Room hire grantwriter Denise Comstock. Cost $3000 for initial packet and one grant. Steve and Terri will donate $1000 toward cost, as will Bruce. Bruce seconds the motion. All present in favor.
$100,000 matures in June, to go in savings until able to apply to principle.
Terri will resign the treasurer position in August.
Credit card application denied.
