January 2009 Board Minutes

Boiler Room Board Meeting Minutes
January 15, 2009
Present:
Board Members:  Julia, Amy, Cory, Catska, Maitland, Steve, Marc, Gigi, Andrew, Mary, Chauncey, Molly
Manager:  Jason
Intern:  Jack
Guests and Volunteers:  Artis the Spoonman, Susie Tweedy, Tenzing Wangchuck, Carleigh Slater, Madeline McClure, Colin, Kia, Annette, Beth,  Tiffany W, Teresa Verreas
Board Members not present:  Terri, Bruce

Maitland motions that the December and January 8th meeting minutes be approved, with the December meeting minutes and the public section of the January 8th meeting minutes posted on the internet

SPECIAL MEETING:
Revisions to by-laws proposed by the By-laws Committee
Andrew motions changes be accepted in full as read to the Board
Catska seconds
All present in favor
Gigi will make a job description for the of vice-president  position, including stepping in to fill the president position, facilitating meetings, and making the meeting agendas, community relations
The vice president must be a voting board member, at least 18 years of age, and able to be a signer on bank accounts
Gigi giving notice:  Will be stepping down from the President position June 30, 2009.
Vice-president discussion and elections tabled to the February meeting
Gigi has been keeping a list of people asked to be on or talked to about the Advisory Council
So far, these people are Steve Guillard, Kelly Matlock, Marc Weinblatt and Kathy Howard
A committee will be formed to discuss the exact nature and functioning of the Advisory Council
This committee consists of Amy, Molly, Cory, Catska, Gigi and Jason
Board decision making process discussed:
Decisions are made slowly and painfully
The manager role needs to be spelled out more clearly
Is there an appropriate amount of discussion, delegation and execution?
What is the follow-up process on board decisions?
Stress that the board works WITH the manager
Money and petty cash for the manager seems to be a big issue
The by-laws have no provision for individual members other than officers to have specific duties
Committees must always report back to the board
The board should avoid micromanaging and unduly hindering the manager
Molly will make a bulletin board with Board of Directors info to help the staff feel more in touch with board decisions and board meeting times
Will revisit in February
Building Team needs to have a meeting.

Manager’s Report:
Jason is asking the following of the board, within one month:
1.  Draft policy forbidding targeting behavior (an anti-discrimination policy)
2.  Establish that all thing that are illegal outside the Boiler Room are illegal in the Boiler Room and put into place a system defining emergencies, defining restitution, etc
3.  Create a how-to for job description to-do list.  Needs procedures manual for each position.
Policy Committee working within the one month deadline:
Julia, Amy, Arinna, Tiffany, Cory, Catska, Gigi, Andrew, Chauncey, Evan, Teresa, Ellie, Jason, Steve, Artis
Finance:
Transitioned from Clarity to Kelly at 1-2-3-Grow, all seems to be going well
Have $10,300 in savings, around $8000 in checking
Development Committee formed:
(Action Committee, not a fantasy team, must have regular meetings)

Next meeting to be held Thursday, February 19th
